These Terms of Service ("Terms") govern your use of the Estrelis.ai platform and website ("Service") operated by Estrelis.ai ("Estrelis," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

Estrelis is a cloud-based healthcare equipment planning platform that helps healthcare organizations plan, track, and manage medical equipment across construction and renovation projects. The Service includes project management tools, equipment databases, reporting, and collaboration features.

2. Accounts and Access

Access to Estrelis is by invitation only. Accounts are provisioned by your organization's administrator or by Estrelis on behalf of your organization. By using the Service, you represent that:

• You are authorized by your organization to access the Service.
• You will keep your account credentials secure and not share them with unauthorized individuals.
• You will notify us promptly if you become aware of any unauthorized use of your account.
• The information you provide is accurate and current.

You are responsible for all activity that occurs under your account.

3. Acceptable Use

You agree to use the Service only for its intended purpose of healthcare equipment planning and management. You will not:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated tools to scrape, crawl, or extract data from the Service without authorization.
• Upload content that is malicious, harmful, or infringes on the rights of others.

4. Intellectual Property

The Service, including its software, design, features, documentation, and branding, is owned by Estrelis and protected by applicable intellectual property laws. Your use of the Service does not grant you ownership of any intellectual property rights in the Service itself.

5. Your Data

You retain full ownership of all project data, equipment lists, documents, photographs, and other content you upload or create through the Service ("Your Data"). We do not claim any intellectual property rights over Your Data.

You grant us a limited license to host, store, process, and display Your Data solely as necessary to provide and improve the Service. This license ends when you delete Your Data or your account is terminated.

6. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you in advance of planned downtime.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your specific requirements or that any results obtained from the Service will be accurate or reliable.

8. Limitation of Liability

To the maximum extent permitted by law, Estrelis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service, whether based on warranty, contract, tort, or any other legal theory.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

9. Termination

Use of the Service is governed by the master services agreement between Estrelis and your organization. Termination rights, notice periods, and related obligations are defined in that agreement.

We may suspend your individual access if you violate these Terms. Upon termination of your organization's agreement, your right to access the Service ceases. Your Data will remain available for export for 30 days following termination, after which it may be permanently deleted.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved in the courts of competent jurisdiction within the United States.

11. Changes to These Terms

We may revise these Terms from time to time. When we make changes, we will update the effective date at the top of this page. For material changes, we will notify affected users via email or through the platform. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
